Upon the transfer of Collections to the Collection Account, and on the basis of information received from the Collateral Servicer, the Trustee shall segregate Principal Proceeds and Interest Proceeds and transfer the same to the corresponding Principal Collection Subaccount and Interest Collection Subaccount, as applicable, in accordance with Section 8.02(a).

The Custodial Account shall be established with a Qualified Depository.
