Performance and Obligations of the Purchaser. The Purchaser shall have performed or complied in all material respects with all obligations, agreements and covenants required by this Agreement to be performed by it or complied with on or prior to the Effective Date. The Company shall have received a certificate signed on behalf of the Purchaser, dated as of the Effective Date, to the foregoing effect.
Performance and Obligations of the Purchaser. All of the terms and conditions of this Agreement to be complied with and performed by the Purchaser at or before the Closing Date hereof shall have been complied with and performed in all material respects.
