Common use of Performance of Agreement Clause in Contracts

Performance of Agreement. All covenants, conditions, and other obligations under this Agreement and the Related Agreements which are to be performed or complied with by the Purchaser, shall have been fully performed and compiled within all material respects at or prior to the Time of Closing, including the delivery of the instruments and documents in accordance with Section 7.3 hereof.

Performance of Agreement. All covenants, conditions, conditions and other obligations under this Agreement and the Related Agreements which are to be performed or complied with by the Purchaser, Companies and the Shareholders shall have been fully performed and compiled within complied with in all material respects at on or prior to the Time of ClosingClosing including, including without limitation, the delivery of (i) the certificates of all outstanding shares of common stock of the Companies pursuant to the terms of, and as more fully set forth in, Section 1.1 and (ii) fully executed instruments and documents in accordance with Section 7.3 hereofthis Agreement.

All covenants, conditions, and other obligations under this Agreement and the Related Agreements which are to be performed or complied with by the PurchaserSeller, including Board of Directors and stockholder approval, shall have been fully performed and compiled within complied with in all material respects at or prior to the Time of Closing, including the delivery of the instruments and documents in accordance with Section 7.3 7.2 hereof.

Performance of Agreement. All covenants, conditions, conditions and other obligations under this Agreement and the Related Agreements which are to be performed or complied with by the PurchaserCompany, shall have been fully performed and compiled within all material respects at complied with by it on or prior to the Time of Closing, including the delivery of the instruments and documents in accordance with Section 7.3 hereofClosing Date.

Performance of Agreement. All covenants, conditions, conditions and other obligations under this Agreement and the Related Agreements which are to be performed or complied with by the PurchaserPurchaser and Ultratech, including Board of Directors approval, shall have been fully performed and compiled within complied with in all material respects at or prior to the Time of Closing, including the delivery of the instruments and documents in accordance with Section 7.3 7.2 hereof.

Performance of Agreement. All covenants, conditions, and other obligations under this Agreement and the Related Agreements which are to be performed or complied with by the PurchaserSeller, shall have been fully performed and compiled within all material respects at or prior to the Time of Closing, including the delivery of the instruments and documents in accordance with Section 7.3 7.2 hereof.

Performance of Agreement. All covenants, conditions, conditions and other obligations under this Agreement and the Related Agreements which are to be performed or complied with by the Purchaser, Buyer and Acquisition Corp. shall have been fully performed and compiled within all material respects at complied with on or prior to the Time of Closing, Closing Date including the delivery of and the fully executed instruments and documents in accordance with Section 7.3 hereof6.3.
