Common use of Performance of Agreement Clause in Contracts

Performance of Agreement. Seller shall have performed and complied with all its obligations under this Agreement which are to be performed or complied with by it on or prior to the Closing Date and the representations and warranties of Seller shall be true and correct as of the Closing Date.

Performance of Agreement. Seller and the Shareholders shall have performed and complied with all of its obligations under this Agreement which are to be have been performed or complied with by it on or prior to the Closing Date Date, and Seller and the representations Shareholders shall have executed and warranties delivered all of Seller the documents contemplated in this Agreement, all of which shall be true and correct as of the Closing Datesatisfactory to Purchaser.

Performance of Agreement. Seller shall have performed and complied with in all material respects its obligations under contained in this Agreement which are required to be performed or complied with by it on or prior to the Closing Date Date, and except as specifically permitted by this Agreement, the representations and warranties of Seller made in this Agreement shall be true true, accurate and correct complete in all material respects on and as of the Closing Date as if made on and as of the Closing Date.

Performance of Agreement. Seller shall have performed in all material respects all obligations and agreements and complied in all material respects with all its obligations under covenants and conditions contained in this Agreement which are to be performed or complied with by it on at or prior to the Closing Date and the representations and warranties of Seller shall be true and correct as of the Closing DateClosing.
