Performance of IFT. IFT shall have performed and complied with all agreements, terms and conditions required by this Agreement to be performed or complied with and IFT shall deliver a certificate, in form and substance satisfactory to TNCI, to that effect, dated the Closing Date, and signed in the manner set forth in Paragraph 9.3.2, on or before the Closing Date.
