Performance of Obligations of the Company and the Sellers. The Company and the Seller shall have performed, in all material respects, all covenants and agreements required to be performed by any of them hereunder at or prior to the Closing.

Performance of Obligations of the Company and the Sellers. The Sellers and the Company shall have performed *** all obligations required to be performed by them under this Agreement on or prior to the Closing Date, and Buyer shall have received certificates signed on behalf of the Company and each Seller by an executive officer of such Person (or, in the case of any Seller that is an individual, signed by such Seller) Person to such effect.
Performance of Obligations of the Company and the Sellers. The Company and the Sellers shall have performed and complied in all material respects with all covenants and obligations required to be performed and complied with by them under this Agreement at or prior to the Closing; and the Counterparty shall have received a certificate, dated as of the Closing Date, (x) signed by each Seller (or, if not a natural person, a duly authorized officer of such Seller) to such effect with respect to such Seller, and (y) signed by a duly authorized officer of the Company to such effect with respect to the Company.

  • Representations of the Seller and the Depositor The respective agreements, representations, warranties and other statements by the Seller and the Depositor set forth in or made pursuant to this Agreement shall remain in full force and effect and will survive the closing under Section 2.02 and the transfers and assignments referred to in Section 7.04.
