Performance through Affiliates; Assignment. Either Party may: (a) perform any of its obligations under this Agreement through one or more of its Affiliates; and (b) assign this Agreement to an Affiliate, or in connection with any merger, consolidation, reorganization, sale or similar transaction involving all or substantially all of its assets relating to this Agreement, with the effect that the Agreement will be binding on and enforceable by such assignee; provided that with respect to each of clauses (a) and (b), each Party will remain liable for such obligations and this Agreement to the extent not performed by such Affiliates or assignees, as applicable.   • Termination of Employment Agreements Any and all Employment Agreements entered into between the Company or any of its Subsidiaries and the Executive prior to the date of this Agreement are hereby terminated.
