Common use of Permits and Entitlements Clause in Contracts

Permits and Entitlements. Solely to the extent they are transferable, all of Seller's right, title and interest in, to and under: (i) all permits, licenses, certificates of occupancy, approvals, authorizations and orders obtained from any governmental authority and relating to the Real Property or the business of owning, maintaining and/or managing the Real Property, including, without limitation, all land use entitlements, development rights, density allocations, certificates of occupancy, sewer hook-up rights and all other rights or approvals relating to or authorizing the ownership, operation, management and/or development of the Real Property (including but not limited all such rights or approvals necessary and appropriate for the Permitted Use (as defined in the Lease)); (ii) all preliminary and final drawings, renderings, blueprints, plans and specifications (including "as-built" plans and specifications), and tenant improvement plans and specifications for the Improvements (including "as-built" tenant improvement plans and specifications); (iii) all maps and surveys for any portion of the Real Property; (iv) all items constituting the Seller's Deliveries; and (v) any and all other items of the same or similar nature pertaining to the Real Property, and all changes, additions, substitutions and replacements for any of the foregoing, free and clear of any and all liens, liabilities, encumbrances, exceptions and claims, but excluding therefrom the Excluded Property (collectively, the "Permits and Entitlements").

The foregoing notwithstanding, (i) it is the Parties’ understanding that the Permits and Entitlements shall not include, in whole or in part, directly or indirectly, any licenses, approvals or permits owned by Seller or any affiliate or related entity of Seller related in any way to Seller’s business; and (ii) Seller shall have an exclusive license throughout the Term (as defined in the Lease) of the Lease to utilize any Permits and Entitlements related to its continued operation of its business on the Real Property and its rights under the Lease, including, without limitation, the right to make any alterations or improvements to the Real Property and improvements thereon, or to construct additional improvements (subject to the terms and conditions of the Lease).

Solely to the extent they are transferable, all All of SellerContributor's right, title and interest in, to and under: (i) all permits, licenses (excluding regulatory licenses), certificates of occupancy, local approvals, authorizations and orders obtained from any governmental authority and relating to the Real Property or the business of owning, maintaining and/or managing the Real Property, including, without limitation, all land use entitlements, development rights, density allocations, certificates of occupancy, sewer hook-up rights and all other rights or approvals relating to or authorizing the ownership, operation, management and/or development of the Real Property (including but not limited all such rights or approvals necessary and appropriate for the Permitted Use (as defined in the LeaseLease Agreement)); (ii) all preliminary and final drawings, renderings, blueprints, plans and specifications (including "as-built" plans and specifications), and tenant improvement plans and specifications for the Improvements (including "as-built" tenant improvement plans and specifications); (iii) all maps and surveys for any portion of the Real Property; (iv) all items constituting the SellerContributor's Deliveries; and (v) any and all other items of the same or similar nature pertaining to the Real Property, and all changes, additions, substitutions and replacements for any of the foregoing, free and clear of any and all liens, liabilities, encumbrances, exceptions and claims, but excluding excepting therefrom the Excluded Property (collectively, the "Permits and Entitlements").

Solely to the extent they are transferable, all of Each respective Seller's ’s right, title and interest in, to and under: (i) all permits, licenses, certificates of occupancy, approvals, authorizations and orders obtained from any governmental authority and relating to the Real Property owned by such Seller or the business of owning, maintaining and/or managing the Real PropertyProperty owned by such Seller, including, without limitation, all land use entitlements, development rights, density allocations, certificates of occupancy, sewer hook-up rights and all other rights or approvals relating to or authorizing the ownership, operation, management and/or development of the such Real Property (including but not limited all such rights or approvals necessary and appropriate for the Permitted Use (as defined in the Lease))Property; (ii) all preliminary preliminary, proposed and final drawings, renderings, blueprints, plans and specifications (including "“as-built" ” plans and specifications), and tenant improvement plans and specifications for the Improvements (including "“as-built" ” tenant improvement plans and specifications); (iii) all maps and surveys for any portion of the Real Property; (iv) all items constituting the Seller's Deliveries; and (viii) any and all other items of the same or similar nature pertaining to the Real Property, and all changes, additions, substitutions and replacements for any of the foregoing, ; free and clear of any and all liens, liabilities, encumbrances, exceptions and claimsclaims and all to the extent transferable and/or assignable and Buyer shall be solely responsible for any and all assignment or transfer fees, but excluding therefrom costs and expenses associated with and/or payable in connection with the Excluded Property foregoing (collectively, collectively the "“Permits and Entitlements"”).
