Permits and Licenses; Compliance with Laws. (a) Part 4.16 of the Disclosure Schedule contains a list of all permits, licenses, notices and other approvals and authorizations of all Governmental Bodies issued to or held by Seller or the Subsidiary and relating to the Business as conducted prior to the Closing Date (collectively, the "Permits"). The Permits comprise all permits, licenses, notices and other approvals and authorizations of all Governmental Bodies which are necessary for conduct of Seller's and the Subsidiary's Business as conducted prior to the Closing Date, except where failure to have such Permit would not have a Seller Material Adverse Effect, and all of such Permits are in full force and effect as of the Closing Date. (b) To the Knowledge of Seller, conduct of Seller's and the Subsidiary's Business has not and does not violate in any material respect any statute, law, rule, ordinance, regulation, order, judgment or decree of any Governmental Body that applies to Seller or the Subsidiary or use or operation of the Assets or conduct of the Business. Neither Seller not the Subsidiary has received any complaint, summons, citation or notice of violation from any Governmental Body with regard to the use or operation of the Assets and conduct of the Business.
