Permitted Annual Volumes. In the event you process in excess of the permitted annual volumes as set out by the Network Rules as a sub merchant, this agreement and the attached Direct Acquirer Appendix shall also constitute your separate legally binding contract between you, [Vantiv] and Fifth Third Bank (collectively, “Bank”). In this Agreement, “we”, “us” and “our” also refers to Bank. You have agreed to the IntegraPay Services Agreement or equivalent agreement, which sets forth requirements regarding the IntegraPay Services and are incorporated into this Agreement by reference. Bank may terminate provision of credit and debit card processing services provided by Fifth Third Bank to IntegraPay and you in connection with payments made to you through the IntegraPay Service and enforce any of the provisions of the Agreement that relate to the credit and debit card processing services provided by Bank.
