Common use of Permitted Pitney Xxxxx Actions Clause in Contracts

Permitted Pitney Xxxxx Actions. During the term of the License, if Licensee is enjoined from (or Pitney Xxxxx believes Licensee may be enjoined from) using the Pitney Xxxxx Software as a result of any action or proceeding based upon any Claim (as defined in Section 6.3), or if Pitney Xxxxx believes that a Claim may arise, or a Claim has been asserted, Pitney Xxxxx may, at its own expense and without diminishing its indemnification obligations under this Agreement: (a) procure for Licensee the right to use the Pitney Xxxxx Software; (b) provide Licensee with substitute software with the substantial operational functions of the original Pitney Xxxxx Software;
