Personal Property - Owned. Except as set forth on Schedule A ---------- hereto, Seller has good and marketable title to all personal property included in the Purchased Assets, including in each case all personal property reflected in the Financial Statements or acquired after the date thereof (except any personal property subsequently sold in the ordinary course of the Business), free and clear of all liens, claims and encumbrances and there exists no restriction on the use or transfer of such property.

Personal Property - Owned. Schedules 5.10 and 5.11 attached hereto contain a summary and brief description of all tangible personal properties and assets owned by Seller. All such personal property is in good operating condition and repair, is adequate and suitable for the uses for which intended by Seller in the ordinary course of the Purchased Business, and there does not exist any condition which interferes in any material way with the use or economic value thereof.

Seller has good and marketable title to all personal property reflected on the Seller Financial Statements (except any sold since the date thereof in the ordinary course of business), free and clear of all mortgages, liens, security interests, charges, claims, restrictions and other encumbrances of every kind. The personal property utilized in Seller's business is owned by Seller and may be used for such purposes without conflict with the rights of others.

CORPORATION has good and merchantable title to all personal property reflected on Schedule 3.12.1 (with the exception of a perfected security interest held by _______ on the _________ described in Schedule 3.12.2) and all such property is located at the location specified on Schedule 3.

Except as set forth on SCHEDULE 3.15 attached hereto and excluding the leased property described in SCHEDULE 3.16 attached hereto, the Partnership has good and marketable title to the Cellular Assets constituting personal property in the Cellular System, free and clear of all Encumbrances other than Permitted Encumbrances.

Except for Permitted Liens or as set forth on Schedule 3.10 hereto, each member of the North Shore Affiliated Group has good and marketable title to all of the personal property included in the Purchased Assets owned by such member, including all personal property reflected on the Interim Balance Sheet or acquired after the date thereof (except any personal property subsequently sold in the Ordinary Course), free and clear of all options, Liens, leases, covenants, conditions, agreements and other restrictions of every kind and there exists no restriction on the use or transfer of such property.

Except as set forth in Schedule 2.2(i) to the Marathon Asset Transfer and Contribution Agreement Disclosure Letter, all Personal Property and interests in Personal Property owned by Marathon and its Affiliates and used or held for use primarily in or related primarily to the operation or conduct of Marathon’s Business (“Marathon Personal Property Owned”), and any additions, improvements, replacements and alterations thereto made as permitted by the terms of this Agreement and the Master Formation Agreement between the date of this Agreement and the Closing Date.
