Common use of PERSONNEL DISCLOSURE Clause in Contracts

PERSONNEL DISCLOSURE. ‌ 27.1 This Paragraph 27 applies to all of CONTRACTOR’s personnel providing services through this Contract, paid and unpaid, including those identified in Paragraph 13.5 of Attachment A (hereinafter referred to as “Personnel”). 27.2 CONTRACTOR shall make available to ADMINISTRATOR a current list of all Personnel providing services hereunder, including résumés and job applications. Changes to the list will be immediately provided to ADMINISTRATOR, in writing, along with a copy of a résumé and/or job application. The list shall include: 27.2.1 Names and dates of birth of all Personnel by title, whose direct services DocuSign Envelope ID: 2F1D3A9A-464B-4F08-AD1F-E394D40DDAD6 are required to provide the programs described herein; 27.2.2 A brief description of the functions of each position and the hours each person works each week, or for part-time Personnel, each day or month, as appropriate; 27.2.3 The professional degree, if applicable, and experience required for each position; and 27.2.4 The language skill, if applicable, for all Personnel. 27.3 Where authorized by law, and in a manner consistent with California Government Code Section 12952, CONTRACTOR shall require prospective Personnel to provide detailed information regarding the conviction of a crime, by any court, for offenses other than minor traffic offenses. Information discovered subsequent to the hiring or promotion of any prospective Personnel shall be cause for termination from the performance of services under this Contract. 27.4 Where authorized by law, CONTRACTOR shall conduct, at no cost to COUNTY, a clearance on the following public websites of the names and dates of birth for all Personnel who will have direct, interactive contact with clients served through this Contract: U.S. Department of Justice National Sex Offender Website (xxx.xxxxx.xxx) and Xxxxx’s Law Sex Offender Registry (xxx.xxxxxxxxx.xx.xxx). 27.5 Where authorized by law, CONTRACTOR shall conduct, at no cost to COUNTY, a criminal record background check on all Personnel who will have direct, interactive contact with clients served through this Contract. Background checks conducted through the California Department of Justice shall include a check of the California Central Child Abuse Index, when applicable. Candidates will satisfy background checks consistent with this Paragraph and their performance of services under this Contract. 27.6 CONTRACTOR shall ensure that clearances and background checks described above in Subparagraphs 27.4 and 27.5 are completed prior to CONTRACTOR’s DocuSign Envelope ID: 2F1D3A9A-464B-4F08-AD1F-E394D40DDAD6 Personnel providing services under this Contract. 27.7 In the event a record is revealed through the processes described above in Subparagraphs 27.4 and 27.5, COUNTY will be available to consult with CONTRACTOR on appropriateness of Personnel providing services through this Contract. 27.8 CONTRACTOR warrants that all Personnel assigned by CONTRACTOR to provide services under this Contract have satisfactory past work records and/or reference checks indicating their ability to perform the required duties and accept the kind of responsibility anticipated under this Contract. CONTRACTOR shall maintain records of background investigations and reference checks undertaken and coordinated by CONTRACTOR for Personnel assigned to provide services under this Contract, for a minimum of five (5) years from the date of final payment under this Contract, or until all pending COUNTY, State, and federal audits are completed, whichever is later, in compliance with all applicable laws. 27.9 CONTRACTOR shall immediately notify ADMINISTRATOR concerning the arrest and/or subsequent conviction, for offenses, other than minor traffic offenses, of any Personnel performing services under this Contract, when such information becomes known to CONTRACTOR. ADMINISTRATOR may determine whether such Personnel may continue to provide services under this Contract and shall provide notice of such determination to CONTRACTOR in writing. XXXXXXXXXX’s failure to comply with ADMINISTRATOR’s decision shall be deemed a material breach of this Contract, pursuant to Paragraph 19 above. 27.10 COUNTY has the right to approve or disapprove all of CONTRACTOR’s Personnel performing work hereunder, and any proposed changes in CONTRACTOR’s Personnel. 27.11 COUNTY shall have the right to require CONTRACTOR to remove any Personnel from the performance of services under this Contract. At the request of COUNTY, CONTRACTOR shall immediately replace said Personnel. 27.12 CONTRACTOR shall notify COUNTY immediately when Personnel is terminated DocuSign Envelope ID: 2F1D3A9A-464B-4F08-AD1F-E394D40DDAD6 for cause from working on this Contract. 27.13 Disqualification, if any, of CONTRACTOR Personnel, pursuant to this Paragraph 27 shall not relieve CONTRACTOR of its obligation to complete all work in accordance with the terms and conditions of this Contract.

CONTRACTOR shall maintain records of 22 background investigations and reference checks undertaken and coordinated by 23 CONTRACTOR for Personnel each employee and/or volunteer assigned to provide services 24 under this Contract, Agreement for a minimum of five (5) years from the date of final 25 payment under this Contract, Agreement or until all pending COUNTY, State, State and federal Federal 26 audits are completed, whichever is later, in compliance with all applicable 27 laws. 27.9 28 26.7 CONTRACTOR shall immediately notify ADMINISTRATOR concerning the 41 (CCB2716) Page 30 of (draft 03-08-16) 1 arrest and/or subsequent conviction, for offenses, offenses other than minor traffic 2 offenses, of any Personnel paid employee and/or volunteer staff performing services 3 under this ContractAgreement, when such information becomes known to CONTRACTOR. 4 ADMINISTRATOR may determine whether such Personnel employee and/or volunteer may 5 continue to provide services under this Contract Agreement and shall provide notice of 6 such determination to CONTRACTOR in writing. XXXXXXXXXXCONTRACTOR’s failure to comply 7 with ADMINISTRATOR’s decision shall be deemed a material breach of this Contract8 Agreement, pursuant to Paragraph 19 18 above. 27.10 COUNTY has the right to approve or disapprove all of CONTRACTOR’s Personnel performing work hereunder, and any proposed changes in CONTRACTOR’s Personnel. 27.11 COUNTY shall have the right to require CONTRACTOR to remove any Personnel from the performance of services under this Contract. CONTRACTOR shall maintain records of 23 background investigations and reference checks undertaken and coordinated by 24 CONTRACTOR for Personnel each employee and/or volunteer assigned to provide services 25 under this Contract, Agreement for a minimum of five (5) years from the date of final 26 payment under this Contract, Agreement or until all pending COUNTY, State, State and federal Federal 27 audits are completed, whichever is later, in compliance with all applicable 28 laws. 27.9 1 21.7 CONTRACTOR shall immediately notify ADMINISTRATOR concerning the 2 arrest and/or subsequent conviction, for offenses, offenses other than minor traffic offenses3 offenses infractions, of any Personnel paid employee and/or volunteer staff performing 4 services under this ContractAgreement, when such information becomes known to 5 CONTRACTOR. ADMINISTRATOR may determine whether such Personnel employee and/or volunteer 6 may continue to provide services under this Contract Agreement and shall provide notice 7 of such determination to CONTRACTOR in writing. XXXXXXXXXXCONTRACTOR’s failure to 8 comply with ADMINISTRATOR’s decision shall be deemed a material breach of this Contract9 Agreement, pursuant to Paragraph 19 16 above. 27.10 10 21.8 COUNTY has the right to approve or disapprove all of CONTRACTOR’s Personnel 11 staff performing work hereunder, hereunder and any proposed changes in CONTRACTOR’s Personnel12 staff. 27.11 13 21.9 COUNTY shall have the right to require CONTRACTOR to remove any Personnel 14 employee from the performance of services under this ContractAgreement. At the 15 request of COUNTY, CONTRACTOR shall immediately replace said Personnelpersonnel. 27.12 16 21.10 CONTRACTOR shall notify COUNTY immediately when Personnel staff is 17 terminated DocuSign Envelope ID: 2F1D3A9A-464B-4F08-AD1F-E394D40DDAD6 for cause from working on this Contract. 27.13 Agreement. 18 21.11 Disqualification, if any, of CONTRACTOR Personnelstaff, pursuant to this 19 Paragraph 27 21, shall not relieve CONTRACTOR of its obligation to complete all 20 work in accordance with the terms and conditions of this ContractAgreement.

COUNTY has the right to approve or disapprove all of CONTRACTOR’s Personnel performing work hereunder, and any proposed changes in CONTRACTOR’s Personnel. 27.11 . COUNTY shall have the right to require CONTRACTOR to remove any Personnel from the performance of services under this ContractAgreement. At the request of COUNTY, CONTRACTOR shall immediately replace said Personnel. 27.12 .
