Common use of Place and Date Clause in Contracts

Place and Date. Subject to Section 4.2, the consummation of the transactions contemplated under this Agreement (the "Closing") shall take place in Zurich (Switzerland) at the offices of Xxxxxx Xxxxxx Esq., Attorney at Law, Xxxxxxxxxxxxxxxxx 00, XX-0000 Xxxxxx, within 5 (five) Business Days after all conditions precedent to Closing set forth in Section 4.2 have been satisfied or waived (where permitted), or at such other place and on such other date as the Parties may mutually agree upon in writing. The day on which the actual Closing occurs shall be referred as the "Closing Date".
