Place of jurisdiction and applicable law. 30.1. If the Contractor is a merchant according to German Commercial Code (HGB), the exclusive place of jurisdiction shall be the location of our registered office. We are entitled, however, to commence proceedings before any court having jurisdiction over the Contractor's registered office. 30.2. The contract and the legal relationship between the Contractor and us shall be governed by the substantive laws of the Federal Republic of Germany with the exclusion of its conflict of laws principles.
