Place of jurisdiction and applicable law. 18.1. Any proceeding arising out of or relating to this Agreement shall be brought in the courts located in the jurisdiction of the principal office of the Buyer, and each of the Parties irrevocably submits to the exclusive jurisdiction of each such court in any such proceeding, waives any objection it may now or hereafter have to venue or to convenience of forum, agrees that all claims in respect of such proceeding shall be heard and determined only in any such court, and agrees not to bring any proceeding arising out of or relating to this Agreement in any other court. Each Party acknowledges and agrees that this Section constitutes a voluntary and bargained-for agreement between the Parties. 18.2. The laws of the State of Delaware shall govern this Agreement, without regard to its conflict of laws principles. The application of the conflict of laws of international private law (IPR) and of the UN Convention on the International Sale of Goods (CISG) is excluded.
