Pledge Agreement; UCC Policies. Holdco shall execute and deliver the REIT / TRS Pledge Agreement. The Pledge Agreement shall constitute a valid and enforceable lien on the Pledged Collateral, in favor of Lender for the full amount of the Loan advanced to and including the date of such advance, free and clear of all liens except for Permitted Encumbrances. At Mortgagee’s request, Mortgagor shall assemble the personal property and make it available to Mortgagee at a place designated by Mortgagee which is reasonably convenient to both parties.

  • Termination of Pledge Agreement This Agreement and the rights hereby granted by Pledgor in the Collateral shall cease, terminate and be void upon fulfillment of all of the obligations of Pledgor under the Securities Contract and hereunder. Any Collateral remaining at the time of such termination shall be fully released and discharged from the Security Interests and delivered to Pledgor by Secured Party, all at the request and expense of Pledgor.
