Pledge Instructions. The Pledged Company is hereby instructed by the Member to register all of the Member’s right, title and interest in and to all of the Member’s interests and/or membership interests in the Pledged Company as subject to a pledge and Pledge Agreement in favor of the Collateral Agent (in accordance with and subject to that certain Pledge Agreement, in the form as Annex A) which, upon such registration, shall become the registered pledgee of the Membership Interest with all rights incident thereto.
