Pledgor’s Legal Status. As of the date hereof, (a) such Pledgor is an organization, as set forth on Schedule 7(a) attached hereto; (b) such organization is of the type, and is organized in the jurisdiction, set forth on Schedule 7(a) attached hereto; and (c) Schedule 7(a) hereto sets forth such Pledgor’s organizational identification number or states that such Pledgor has none.
Pledgor’s Legal Status. Pledgor shall not change its type of organization, jurisdiction of organization or other legal structure.
Pledgor’s Legal Status. Except for the changes described on Schedule 10(a), not without providing at least 10 Business Days (or such shorter period as the Collateral Agent may approve) prior written notice to the Collateral Agent, such Pledgor shall not change its type of organization, jurisdiction of organization or other legal structure in a manner that would affect the accuracy of any information included on the financing statement of any Pledgor.

No Pledgor shall enter into, or consent to the entering into of, any amendment of any limited partnership agreement or limited liability operating agreement of any issuer of any Pledged Securities that could have an adverse effect on the Security Interest therein or the rights and remedies of the Secured Party hereunder. Each Pledgor, as a limited partner, general partner, member, manager or managing member of any issuer of Pledged Securities hereby consents to the execution and delivery of this Pledge Agreement, the performance by the applicable Pledgor of its obligations hereunder and the exercise by the Secured Party of its rights and remedies hereunder. Except for the Liens granted hereunder to the Secured Party and except for the Liens granted to the Collateral Agent under the security agreements securing obligations arising under the Indenture and Senior Notes, no Pledgor shall suffer or permit any issuer of Pledged Securities to enter into a Control Letter in favor of any Person.
Pledgor’s Legal Status. Without providing at least 10 days’ prior written notice to the Administrative Agent, such Pledgor shall not change its type of organization, jurisdiction of organization or other legal structure.
Pledgor’s Legal Status. Pledgor is duly organized and existing under the laws of the jurisdiction of its organization and has the requisite power to enter into this Agreement and carry out the terms hereof. The signature page hereof accurately sets forth: (a) Pledgor’s exact legal name, (b) Pledgor’s type of organization and jurisdiction of organization, (c) Pledgor’s organizational identification number or an accurate statement that Pledgor has none, and (d) Pledgor’s place of business or, if more than one, its chief executive office as well as Pledgor’s mailing address if different.
