Position and Duties/Company. During the Term as defined in Section 2 hereof, the Executive (i) agrees to act as Executive Vice President and Director of Retail Banking and Corporate Marketing for the Company and to perform such reasonable duties as may be assigned to her from time to time by the President and Chief Executive Officer of the Company, and (ii) shall report to the President and Chief Executive Officer of the Company.
Position and Duties/Company. The Executive agrees to serve as Chief Financial Officer and Treasurer for the Company and the Holding Company, and to perform all reasonable duties assigned to him by the Chief Executive Officer of the Company and the Holding Company or Chief Operating Officer of the Company. The Executive shall, as the Holding Company or the Company designates, report to either the Chief Operating Officer or Chief Executive Officer of the Company.
Position and Duties/Company. The Executive agrees to serve as Chief Information Officer and Senior Vice President for the Company, and to perform all reasonable duties assigned to him by the Chief Executive Officer or Chief Operating Officer of the Company. The Executive shall, as the Company designates, report to either the Chief Operating Officer or Chief Executive Officer of the Company.
Position and Duties/Company. During the Term as defined in Section 2 hereof, the Executive (i) agrees to act as chief risk officer for the Company and Independent Bank Corp. (“IBC”) and hold the title of Chief Risk Officer of the Company and of IBC and to perform such reasonable duties as may be assigned to him from time to time by the President and Chief Executive Officer of the Company, and (ii) shall report to the President and Chief Executive Officer of the Company.
Position and Duties/Company. During the Term as defined in Section 2 hereof, the Executive (i) agrees to oversee and manage all the operations and functions of the Company’s commercial loan division and Investment Management Group and hold the title of Executive Vice President of the Company and to perform such reasonable duties as may be assigned to him from time to time by the President and Chief Executive Officer of the Company, and (ii) shall report to the President and Chief Executive Officer of the Company.

The Executive agrees to serve as the Director of Residential Lending and Compliance for the Company, and to perform all reasonable duties assigned to him by the Chief Executive Officer of the Company and the Holding Company or Chief Operating Officer of the Company. The Executive shall report to the Chief Operating Officer of the Company.

(the “Holding Company”), to hold the title of General Counsel of the Company and Holding Company, and to perform such other reasonable duties as may be assigned to him by the President and Chief Executive Officer of the Company. The Executive shall report to the President and Chief Executive Officer of the Company.
Position and Duties/Company. (i) Chairman of the Board. Throughout the Term of this Agreement, the Executive (i) agrees to serve as Chairman of the Board of Directors of the Company and to perform such reasonable duties consistent with such position as may be delineated in the By-Laws of the Company and as may be assigned to him from time to time by the Board of Directors of the Company (the “Board”), (ii) shall be given such authority as is appropriate to carry out the duties described above, it being understood that, in his capacity as Chairman of the Board of the Company, his duties shall be consistent in scope, prestige and authority with the customary duties of a Chairman of the Board of a comparable corporation.
