Common use of Positions and Duties Clause in Contracts

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer and President of the Company. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him Executive by the Company's ’s Board of Directors (the "Board")Directors, to whom Executive will report. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive will serve is serving as President General Manager and Chief Executive Officer Senior Vice President, Commercial Business Unit of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Chief Executive Officer and/or Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As Effective as of the Effective Date, Executive will serve as the Company’s Chief Quality Officer and Senior Vice President and Manufacturing Operations, reporting to the Chief Executive Officer of the CompanyOfficer. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him Executive by the Company's Board of Directors (the "Board")’s Chief Executive Officer. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive will serve as President Vice President, Commercial Affairs and Chief Executive Officer Business Development of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him by the Company's Board of Directors (the "’s Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer the Senior Vice President, Research of the Company, reporting to the Chief Executive Officer. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him Executive by the Company's ’s Chief Executive Officer and Board of Directors (the "“Board"”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term”."

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer of the Company. Executive will render such business and professional services in the performance of his duties, consistent duties as are customarily associated with Executive's ’s position within the Company, Company and Executive agrees to perform such other duties and functions as shall from time to time be reasonably be assigned or delegated to him Executive by the Company's ’s Board of Directors (the "“Board"”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive will serve as Executive Vice President and Chief Executive Operating Officer of the CompanyCompany reporting to the Chief Executive Officer. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve as President Executive Vice President, Global Operations and will continue reporting to the Company’s Chief Executive Officer of the Companyand President, Xxxx Xxxxxxxxx (“Manager”). Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him by the Company's Board of Directors (the "Board")his Manager. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment TermPeriod."”

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer VICE PRESIDENT OF ENGINEERING of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Chief Executive Officer and/or Board of Directors (the "BoardBOARD"). The period of Executive's employment under this Agreement is referred to herein as the "Employment TermEMPLOYMENT TERM."

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer -------------------- Vice President, Marketing of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Board of Directors (the "Board")Executive Vice President, Strategy and Business Development. The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. On the Effective Date, Executive will commence service as the Company's Senior Vice President, Sales and Marketing. Executive will report to the Company's Chief Executive Officer (the "CEO"). As of the Effective Date, Executive will serve as President and Chief Executive Officer of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall will reasonably be assigned to him by the Company's Board of Directors (the "Board")CEO. The period of Executive's employment Executive is employed by the Company under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve as President Senior Vice President, Business Development & Legal Affairs and Chief Executive Officer General Counsel of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him by the Company's Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve as President Sr. Vice President, Marketing and Chief Executive Marketing Officer of the Company. Executive will render such business and professional services in the performance of his her duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him her by the Company's Chief Executive Officer and/or Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve as President the Senior Vice President, Sales and Chief Executive Officer Marketing of the Company. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him Executive by the Company's Board of Directors ’s Chief Executive Officer (the "Board"“CEO”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."” The Employment Term commenced on July 5, 2017, Executive’s actual start date of employment (the “Start Date”).

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer the Vice President, Human Resources of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall will reasonably be assigned to him by the Company's Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment TermDirectors."

Positions and Duties. As of the Effective Date, Executive will serve as the Executive Vice President of Research and Development and Chief Technical Officer of the Company, reporting to the Company’s Chief Executive Officer of the Company. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him Executive by the Company's ’s Board of Directors (the "Board")and Chief Executive Officer. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term”."

Positions and Duties. As of the Effective Date, Executive will serve as Vice President and Chief Executive Officer General Manager (“VP/GM”), Newborn Care of the Company. Executive will render such business and professional services in the performance of his her duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him her by the Company's Board of Directors ’s Chief Executive Officer (the "Board"“CEO”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive will serve as Executive Vice President Sales and Chief Executive Officer Marketing ("EVP") of each of Majesco and Holdings and will report directly to the Company's CEO. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within as the CompanyEVP, as shall will reasonably be assigned to him by the Company's Board of Directors (the "Board")CEO. The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve as Executive Vice President and of Business Development of the Company reporting directly to the Company’s Chief Executive Officer of (the Company“CEO”). Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him by the Company's ’s Board of Directors (the "“Board"”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer Vice President, Finance of the Company. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him Executive by the Company's ’s Board of Directors (the "“Board"”). The period of Executive's ’s at-will employment under the terms of this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive will serve as the Company’s Vice President of Corporate Development and Investor Relations and report to the Company’s Chief Executive Officer of (the Company“CEO”). Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him Executive by the Company's Board of Directors CEO (the "Board"b). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve is serving as President Vice President, Legal and Chief Executive Officer Corporate Development of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him by the Company's ’s Chief Executive Officer and/or Board of Directors (the "“Board"”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer of the Company’s Chief Commercial Officer. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him by the Company's Board of Directors (the "Board")’s Chief Executive Officer. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

As of the Effective Date, Executive will serve as be employed by the Company in the position of Vice President and reporting to the Company’s Chief Executive Officer (the “CEO”), and shall do and perform all services, acts or things necessary or advisable to manage and conduct the business of the Company. Executive will render such business and professional services in the performance of his duties, Company consistent with Executive's position within the Company, bylaws of the Company and as shall reasonably be assigned to him required by the Company's Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment TermCEO."

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer the Vice President, Technology of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall will reasonably be assigned to him by the Company's Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment TermDirectors."

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer GENERAL COUNSEL of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Chief Financial Officer and/or Board of Directors (the "BoardBOARD"). The period of Executive's employment under this Agreement is referred to herein as the "Employment TermEMPLOYMENT TERM."

Positions and Duties. As Effective as of the Effective Date, Executive will serve as President and Chief Executive Officer of the Company’s Sr. Vice President, Chief Operating Officer. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him Executive by the Company's Board of Directors (the "Board")’s Chief Executive Officer. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Chief Executive Officer and/or Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer VICE PRESIDENT OF MARKETING of the Company. Executive will render such business and professional services in the performance of his her duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him her by the Company's Chief Executive Officer, President, Chief Financial Officer and/or Board of Directors (the "BoardBOARD"). The period of Executive's employment under this Agreement is referred to herein as the "Employment TermEMPLOYMENT TERM."

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Operating Officer of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him by the Company's Board ’s President and Chief Executive Officer. Such duties will include, but may not be limited to, management of Directors (the "Board")Company’s sales, channels, services, marketing and product management departments. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

As of the Effective Date, Executive will serve as President the Executive Vice President, Chief Financial Officer, General Counsel and Chief Executive Officer Secretary of the Company, reporting to the Company’s Chief Executive Officer. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him Executive by the Company's ’s Board of Directors (the "Board")and Chief Executive Officer. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term”."

Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer Sales Manager of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company and the Bylaws of the Company, as shall reasonably be assigned to him by the Company's Board of Directors (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve as President and Chief Executive Officer the Senior Vice President, Development of the Company, reporting to the Chief Executive Officer. Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him Executive by the Company's ’s Chief Executive Officer and Board of Directors (the "“Board"”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term”."

The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Executive will render such business and professional services in the performance of his Executive’s duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him by the Company's Board of Directors (the "Board")’s Chief Executive Officer. The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive will serve is serving as President General Manager and Chief Executive Officer Senior Vice President, Retail Business of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him by the Company's ’s Chief Executive Officer and/or Board of Directors (the "“Board"”). The period of Executive's ’s employment under this Agreement is referred to herein as the "“Employment Term."”

Positions and Duties. As of the Effective Date, Executive will serve as President Senior Vice President, Business Development and Chief Executive Officer Corporate Strategy of the Company, subject to the terms and conditions of this Agreement. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall reasonably be assigned to him by the Company's Board Company and, as such, from and after the date hereof, shall report directly to and shall be subject to the direction of Directors (the "Board"). The period of Executive's ’s at-will employment under the terms of this Agreement is referred to herein as the "“Employment Term."”

Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as shall reasonably be assigned to him by the Company's Board of Directors Chief Executive Officer (the "Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."

Positions and Duties. As of the Effective Date, Executive will serve as President Vice President, Regulatory Affairs and Chief Executive Officer Quality Assurance of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive's ’s position within the Company, as shall will reasonably be assigned to him by the Company's Board of Directors (the "’s Board"). The period of Executive's employment under this Agreement is referred to herein as the "Employment Term."
