Possession of Assets. The Manager shall not at any time be the custodian of, and shall have no access to, either funds or securities of the Company. The Manager will not have the authority to place orders for the execution of transactions involving the assets of the Company through any brokers, dealers, or banks. The Manager shall have no authority to commit the Company to any contract, liability, or other obligation.
Possession of Assets. The assets used in the Business are assets of the Transferor as of the Effective Date and are in Transferor’s possession as of the Effective Date, and that Transferor has all requisite title or license to convey the Purchased Assets to Acquiror as contemplated by the Agreement.

The Advisor shall have no authority to commit the Company to any contract, liability, or other obligation.
Possession of Assets. Immediately following the Closing on the Closing Date, the Seller shall take or cause to be taken all actions which are reasonably required or requested by the Buyer to put the Buyer in full possession and control of all of the Assets.
