Post-Employment Exercises. The exercise of any Stock Option after termination of the Executive's employment with the Company shall be subject to satisfaction of the conditions precedent that the Executive neither (i) competes with, or takes other employment with or renders services to a competitor of, the Company, its subsidiaries or affiliates without the written consent of the Company, nor (ii) conducts himself in a manner adversely affecting the Company.
