Potential AuctionDisposition. In accordance with the Plan, the SCC Litigation Trust Claims (and any interest therein), in whole or in part, may be auctioned and, sold, or otherwise disposed of before or after Confirmation. Any auction or sale to be conducted prior to the Effective Date shall only be pursuant to appropriate Orders granting a motion or DRAFT PROPOSED BY THE DEBTOR motions fled with the Bankruptcy Court seeking its approval of the applicable auction procedures and related matters and approving the ultimate sale of the property that is the subject of the auction.; provided, however, that any settlement or dismissal of the SCC Litigation Trust Claims shall not be subject to the provisions of this Section 5.9. If, after the Effective Date, the SCC Litigation Trustee (after obtaining the requisite approvals of the SCC Litigation Trust Board) decides to pursue an auction, sale, or other disposition of all or part of the SCC Litigation Trust Claims, the SCC Litigation Trustee must invite the Parent to bid on the portion of the SCC Litigation Trust Claims being offered for auction, sale, or other disposition; provided, however, that any such participation rights of the Parent shall in all circumstances be neither more favorable nor less favorable than the terms and conditions upon which parties other than the Parent are permitted to participate in any such auction and, sale, or other disposition process.

  • BEFORE AUCTION 4.1 All intended bidder can access to the ESZAM AUCTIONEER SDN BHD website to download the Proclamation of Sale (POS) & Conditions of Sale (COS). By proceeding with E-bidding with ESZAM AUCTIONEER SDN BHD, the E-bidders’ have agreed and accepted the ESZAM AUCTIONEER SDN BHD terms and conditions. Any bid by registered E-bidder shall not be withdrawn once entered.

  • AFTER AUCTION 6.1 Any successful E-bidders shall and undertake to sign the contract of sale and pay the additional 10% for the difference of the purchase price within two (2) working days to ESZAM AUCTIONEER SDN BHD bank account or prepare a bank draft.   • Final Disposition Notwithstanding any other provision in this Agreement, no determination as to entitlement to indemnification under this Agreement shall be required to be made prior to the final disposition of the Proceeding.

  • DISPOSITION OF EQUIPMENT The Grantee shall provide to the State, not less than 30 calendar days prior to submission of the final invoice, an itemized inventory of equipment purchased with funds provided by the State. The inventory shall include all items with a current estimated fair market value of more than $5,000.00 per item. Within 60 calendar days of receipt of such inventory the State shall provide the Grantee with a list of the items on the inventory that the State will take title to. All other items shall become the property of the Grantee. The State shall arrange for delivery from the Grantee of items that it takes title to. Cost of transportation, if any, shall be borne by the State.

  • SALE OF THE PROPERTY To the extent permitted by applicable law, Grantor hereby waives any and all right to have the Property marshalled. In exercising its rights and remedies, Lender shall be free to sell all or any part of the Property together or separately, in one sale or by separate sales. Lender shall be entitled to bid at any public sale on all or any portion of the Property.
