Common use of Potential Relationship Clause in Contracts

Potential Relationship. The Parties understand and agree that, unless and until a definitive agreement has been executed and delivered, no contract or agreement providing for the Proposed Transaction or business relationship among the Parties shall be deemed to exist, and neither of the Parties are or will be under any legal obligation of any kind whatsoever with respect to such Proposed Transaction or business relationship by virtue of this Agreement or any other written or oral expression, except, in the case of this Agreement, for the matters specifically agreed to herein. For purposes of this paragraph, the term “definitive agreement” does not include any executed letter of intent or any other preliminary written agreement that does not expressly state that it constitutes a “definitive agreement,” nor does it include any written or verbal acceptance of any offer that may be made in the future.
