Common use of Pre-Marketing Expenses Clause in Contracts

Pre-Marketing Expenses. On a country by country basis, before Regulatory Approval in such country of the Territory, the Pre-Marketing Expenses incurred by the Parties with respect to such Licensed Product in anticipation of obtaining Regulatory Approval of such Licensed Product in such country shall be *** by the Parties, consistent with plans and budgets established in the Development Plan and associated Annual Workplan/Budget or the Commercialization Plan or any Annual Commercialization Plan/Budget. As such Pre-Marketing Expenses are incurred they shall be paid for by the Party incurring such expenses, subject to reimbursement as set forth in Exhibit B.

On a Product by Product and country by country basis, before Regulatory Approval of such Product in such country of the Copromotion Territory, the Pre-Marketing Expenses incurred by the Parties with respect to such Licensed Product in anticipation of obtaining Regulatory Approval of such Licensed Product in such country shall be *** by the Parties, consistent with plans and budgets established in the Development Plan and associated Annual Workplan/Budget or the Commercialization Plan or any Annual Commercialization Plan/Budget***************************. As such Pre-Marketing Expenses are incurred they shall be paid for by the Party incurring such expenses, subject to reimbursement as set forth in Exhibit B.Section 6.1.8(g).

As such Pre-Marketing Expenses are incurred they shall be paid for by the Party incurring such expenses, subject to reimbursement as set forth in Exhibit B.Section 6.1.8(g).
