PREEMPTIVE AND OTHER RIGHTS; WAIVER. The Company Shareholder either (i) does not own or otherwise have any statutory or contractual preemptive or other right of any kind (including any right of first offer or refusal) to acquire any Company Shares, or (ii) hereby irrevocably waives each right of that type the Company Shareholder does own or otherwise has.
PREEMPTIVE AND OTHER RIGHTS; WAIVER. Except for the rights of the ----------------------------------- Genesis Member to receive shares of Newco Common Stock as a result of the LLC Exchange or to acquire Newco Common Stock pursuant to any written option granted by JWCFS or Newco to the Genesis Member separate and apart from this Agreement, the Genesis Member either (a) does not own or otherwise have any statutory or contractual preemptive or other right of any kind (including any right of first offer or refusal) to acquire any shares of Newco Common Stock or (b) hereby irrevocably waives each right of that type the Genesis Member does own or otherwise has.

Except for the right of the Stockholder to receive shares of Apple Common Stock as a result of the Merger or to acquire Apple Common Stock pursuant to any written option granted by Apple to the Stockholder, the Stockholder either (a) does not own or otherwise have any statutory or contractual preemptive or other right of any kind (including any right of first offer or refusal) to acquire any shares of Company Capital Stock or Apple Common Stock or (b) hereby irrevocably waives each right of that type the Stockholder does own or otherwise has.
PREEMPTIVE AND OTHER RIGHTS; WAIVER. Except for the right of the Stockholder to receive shares of Purchaser Common Stock and Contingent Stock Issue Rights as a result of the Merger or to acquire Purchaser Common Stock pursuant to any written option or warrant granted by Purchaser or the Company to the Stockholder, the Stockholder either (a) does not have any statutory or contractual preemptive or other right of any kind (including any right of first offer or refusal) to acquire any shares of Company Common Stock or Purchaser Common Stock or (b) hereby irrevocably waives each such right of that type the Stockholder has or may have.
PREEMPTIVE AND OTHER RIGHTS; WAIVER. Except for the right of the Stockholder to receive shares of ARS Common Stock as a result of the Merger or to acquire ARS Common Stock pursuant to any written option granted by ARS to the Stockholder, the Stockholder either (a) does not own or otherwise have any statutory or contractual preemptive or other right of any kind (including any right of first offer or refusal) to acquire any shares of Company Capital Stock or ARS Common Stock or (b) hereby irrevocably waives each right of that type the Stockholder does own or otherwise has.
PREEMPTIVE AND OTHER RIGHTS; WAIVER. Except for the rights of the Selling Stockholder to receive shares of IDG Common Stock as a result of the Acquisition Transaction or to acquire IDG Common Stock pursuant to any written option granted by IDG to the Selling Stockholder separate and apart from this Acquisition Agreement, the Selling Stockholder either (a) does not own or otherwise have any statutory or contractual preemptive or other right of any kind (including any right of first offer or refusal) to acquire any shares of Company Capital Stock or IDG Common Stock or (b) hereby irrevocably waives each right of that type the Selling Stockholder does own or otherwise has.
PREEMPTIVE AND OTHER RIGHTS; WAIVER. Except for the right of the Stockholder to receive shares of RW Common Stock pursuant to this Agreement and the Transaction Documents, the Stockholder either (a) does not own or otherwise have any statutory or contractual preemptive or other right of any kind (including any right of first offer or refusal) to acquire any shares of Company Capital Stock or RW Common Stock or (b) hereby irrevocably waives each right of that type the Stockholder does own or otherwise has.
PREEMPTIVE AND OTHER RIGHTS; WAIVER. Such Target Shareholder either: (i) does not own or otherwise have any statutory or contractual preemptive or other right of any kind (including, without limitation, any right of first offer or refusal) to acquire any Target Equity Interest; or (ii) hereby irrevocably waives each right of that type that such Target Shareholder does own or otherwise has.
PREEMPTIVE AND OTHER RIGHTS; WAIVER. Except for the rights of the Shareholder to receive shares of United Common Stock as a result of the Stock Acquisition, the Shareholder either (a) does not own or otherwise have any statutory or contractual preemptive or other right of any kind (including any right of first offer or refusal) to acquire any shares of Company Capital Stock or United Common Stock or (b) hereby irrevocably waives each right of that type the Shareholder does own or otherwise has.
PREEMPTIVE AND OTHER RIGHTS; WAIVER. Except for the right of the Signing Shareholder to receive shares of JDA Common Stock constituting the Stock Merger Consideration as a result of the Merger, the Signing Shareholder either (i) does not own or otherwise have any statutory or contractual preemptive or other right of any kind (including any right of first offer or refusal) to acquire any shares of E3 Common Stock or JDA Common Stock 36 41 or (ii) hereby irrevocably waives each right of that type the Signing Shareholder does own or otherwise has.
