The Seller warrants that the conveyance of the applicable Receivables and Collections to the Buyer, and each such conveyance, shall not have been made for or on account of an antecedent debt owed by the Seller to the Buyer and no such transfer is or may be voidable under any Section of the United States Bankruptcy Code.
