Common use of PRELIMINARY RECITALS Clause in Contracts

PRELIMINARY RECITALS. Reference is made to those certain Stock Purchase Agreements dated as of October 3, 1997 (collectively, the "Stock Purchase Agreement"), pursuant to which the outstanding capital stock of B.R.M.C. of Delaware, Inc., The Mail Box, Inc., Mid-Continent Agencies, Inc., National Credit Management Corp., Impact Telemarketing Group, Inc. and Impact Telemarketing, Inc. will be acquired by the Company (the "Acquisitions"). Concurrently therewith, the Company will close an initial public offering of its common stock.
