(f) The Auction Agent's registry of Existing Holders of shares of a series of Preferred Shares shall be used conclusive and binding on BD. BD may inquire of the Auction Agent between 3:00 P.M. on the Business Day preceding an Auction for shares of a series of Preferred Shares and 9:30 A.M. on the Auction Date for such Auction to ascertain the number of shares of such series in respect of which the Auction Agent has determined BD to be an Existing Holder. Preparation for Each Auction. (a) Not later than 9:30 A.M. on each Auction Date for the each series of AMPS, the Auction Agent shall advise BD and the Company by telephone of the Reference Rate and the Maximum Applicable Rate in effect on such Auction Date.
(b) In the event that the Auction Date for any Auction shall be changed after the Auction Agent has given the notice referred to in clause (vii) of paragraph (a) of the Settlement Procedures, the Auction Agent, by such means as the Auction Agent deems practicable, shall give notice of such change to BD not later than the earlier of 9:15 A.M. on the new Auction Date or 9:15 A.M. on the old Auction Date. Thereafter, BD shall promptly shall notify customers of BD that BD believes are Beneficial Owners of shares of Series G AMPS of such change in the Auction Date.
(c) The Auction Agent On the date of this Agreement, and from time to time may upon request of the Auction Agent, BD to will provide it the Auction Agent with a list of the respective customers BD believes are Beneficial Owners Existing Holders and the number of shares of each series of AMPSSeries G AMPS held by such Existing Holders. BD shall comply with any such request, and the Auction Agent shall keep confidential any such information, including information received as to the identity of Bidders in any Auction, and shall not disclose any such information so provided to any Person other than the Fund; respective Broker-Dealer and such information shall not be used the Company, unless otherwise required by law. Notwithstanding the above, and as necessary to comply with applicable securities laws, either the Auction Agent or its officers, employees, agents or representatives for BD may disclose to anyone any purpose other than such purposes as are described herein. The Auction Agent shall transmit any list information with respect to the United States federal income tax treatment and tax structure of customers BD believes are Beneficial Owners of shares of each series of AMPS and information related thereto only to its officers, employees, agents or representatives in the Corporate Trust and Agency Group who need to know such information for the purposes of acting in accordance with this Agreement, and the Auction Agent shall prevent the transmission of such information to others and shall cause its officers, employees, agents and representatives to abide by the foregoing confidentiality restrictions; provided, however, that the Auction Agent shall have no responsibility or liability for the actions of any of its officers, employees, agents or representatives after they have left the employ of the Auction Agentarrangement.

BD shall comply with any such request, and the Auction Agent shall keep confidential any such information, including information received as to Trust Company and the identity of Bidders in any Auction, and Company shall not disclose any such information so provided to any Person other than the Fund; except as provided and such information shall not be used by the Auction Agent or its officers, employees, agents or representatives for any purpose other than such purposes as are described herein. The Auction Agent shall transmit any list of customers BD believes are Beneficial Owners of shares of each series of AMPS and information related thereto only to its officers, employees, agents or representatives in the Corporate Trust and Agency Group who need to know such information for the purposes of acting in accordance with this Sections 2.2 (f), 2.7 and 4.7 of the Trust Company Agreement.

(e) BD agrees to maintain a list of customers relating to a series of AMPS and to use its best efforts, subject to existing laws and regulations, to contact the customers on such list whom BD believes may be interested in participating in the Auction on each Auction Date, as a Potential Holder or a Potential Beneficial Owner, for the purposes set forth in the Auction Procedures. (f) The Auction Agent’s registry of Existing Holders of shares of a series of AMPS shall be used conclusive and binding on BD. BD may inquire of the Auction Agent between 3:00 p.m. on the Business Day preceding an Auction for shares of a series of AMPS and 9:30 a.m. on the Auction Date for such Auction to ascertain the number of shares of such series in respect of which the Auction Agent has determined BD to be an Existing Holder. If BD believes it is the Existing Holder of fewer shares of such series than specified by the Auction Agent or its officersin response to BD’s inquiry, employees, agents or representatives for any purpose other than such purposes as are described herein. Preparation for Each Auction. (a) Not later than 9:30 A.M. on each Auction Date for the each series of AMPS, the Auction Agent shall advise BD and the Company by telephone of the Reference Rate and the Maximum Applicable Rate in effect on such Auction Date.

The Auction Agent shall transmit any list information with respect to the United States federal income tax treatment and tax structure of customers BD believes are Beneficial Owners of shares of each series of AMPS and information related thereto only to its officers, employees, agents or representatives in the Corporate Trust and Agency Group who need to know such information for the purposes of acting in accordance with this Agreement, and the Auction Agent shall prevent the transmission of such information to others and shall cause its officers, employees, agents and representatives to abide by the foregoing confidentiality restrictions; provided, however, that the Auction Agent shall have no responsibility or liability for the actions of any of its officers, employees, agents or representatives after they have left the employ of the Auction Agentarrangement.

(e) BD agrees to maintain a list of customers relating to a series of Preferred Shares and to use its best efforts, subject to existing laws and regulations, to contact the customers on such list whom BD believe may be interested in participating in the Auction on each Auction Date, as a Potential Holder or a Potential Beneficial Owner, for the purposes set forth in the Auction Procedures. Nothing herein shall not require BD to submit an Order for any customer in any Auction.
(f) The Auction Agent's registry of Existing Holders of shares of a series of Preferred Shares shall be used conclusive and binding on BD. BD may inquire of the Auction Agent between 3:00 P.M. on the Business Day preceding an Auction for shares of a series of preferred Shares and 9:30 A.M. on the Auction Date for such Auction to ascertain the number of shares of such series in respect of which the Auction Agent has determined BD to be an Existing Holder. If BD believes it is the Existing Holder of fewer shares of such series than specified by the Auction Agent or its officersin response to BD's inquiry, employees, agents or representatives for any purpose other than such purposes as are described herein. The BD may so inform the Auction Agent of that belief.
