Common use of Presiding Officer and Secretary at Meetings Clause in Contracts

Presiding Officer and Secretary at Meetings. There shall preside at each meeting of the Board of Directors, the Non-Executive Chair of the Board of Directors. Even if present at the meeting, the Non-Executive Chair may designate another director to act as chair of the meeting. In the absence of the Non-Executive Chair, such member of the Board of Directors as shall be chosen by the meeting. The Secretary, or in his or her absence a Secretary chosen by the meeting, shall act as secretary of the meeting.
