Common use of Press Releases and Other Disclosures Clause in Contracts

Press Releases and Other Disclosures. Neither party shall publish any information or make public disclosure of the terms of this Agreement without the consent of the other party, such consent not to be unreasonably withheld (with failure to respond to any request for consent beyond one (1) week from the request to be deemed consent). Notwithstanding the foregoing, a party may disclose the terms of, or activities under, this Agreement: (a) to the extent required by law or regulation or court order, or by the rules of any stock exchange on which the stock or shares of the party are listed; and (b) in confidence to its professional advisors, and its existing or potential investors, acquirers or merger partners. The parties agree that press releases relating to this Agreement shall be made upon the Effective Date by each of them.
