Pricing Agreement Letter. Upon receipt of Working Drawings approved by Tenant, Landlord shall price the cost of the Tenant Improvements in accordance with the Working Drawings, and furnish Tenant a Pricing Agreement Letter in the form of Exhibit C-3 hereto (“Pricing Agreement Letter”) within fourteen (14) calendar days from the receipt of approved Working Drawings. The Pricing Agreement Letter shall provide for the Tenant Improvement Allowance to be paid by the Landlord and all Tenant Improvement costs in excess of the Tenant Improvement Allowance to be paid by the Tenant.

If a Pricing Agreement Letter is not delivered to Tenant on or before such date, then each day of delay in delivery shall constitute one day of "Landlord Delay" hereunder; provided, however, that if a Pricing Agreement Letter cannot be delivered within fourteen (14) calendar days due to the complexity or amount of Above Standard Tenant Improvements, Landlord shall so notify Tenant, and any delay associated therewith shall not constitute a Landlord Delay.
