PrimeSource Agreement. The MEDIQ Parties have received from the Company evidence that the Company and PrimeSource have executed and delivered the PrimeSource Agreement and are prepared to consummate the transactions contemplated thereby, including executed copies of all the agreements and instruments contemplated to be delivered at the closing of the PrimeSource Transaction, evidence that PrimeSource has received adequate financing for the transactions contemplated by the PrimeSource Agreement and a certificate certifying that all conditions to PrimeSource's obligations have been satisfied.
