Principal Executive Officer. The Principal Executive Officer shall be the chief executive officer of the Trust and shall generally manage the business and affairs of the Trust. The Principal Executive Officer shall be responsible for making the certifications required of the Trust's principal executive officer by Sections 302 and 906 of the Xxxxxxxx-Xxxxx Act of 2002, as amended, and the rules promulgated thereunder by the Securities and Exchange Commission (the "Commission").
Principal Executive Officer. Simox XxXxxxxx Xxxcessor shall be the principal executive of the Company in charge of the Company's management and policies. The Company shall obtain a "McKexxxx Xxxicy" in accordance with Section 5.10, with premiums prepaid for a period of not less than three years from the Closing Date and shall execute and deliver an Assignment of Life Insurance as Collateral in a form reasonably acceptable to the Purchasers within sixty (60) days of the date hereof.
Principal Executive Officer. The Principal Executive Officer shall be the chief executive officer of the Company, shall preside at all meetings of the Managers, shall be responsible for the general and active management of the business of the Company and shall see that all orders and resolutions of the Managers are carried into effect. The Principal Executive Officer or any other Officer authorized by the Principal Executive Officer or the Managers shall execute all contracts, except: (i) where required or permitted by law or this Agreement to be otherwise signed and executed, including Section 7(b); (ii) where signing and execution thereof shall be expressly delegated by the Managers to some other Officer or agent of the Company; and (iii) as otherwise permitted in Section 11(c).
