This Agreement constitutes is the complete entire agreement of the parties as and supersedes all prior agreements, written or oral, between the parties with respect to the subject matter covered by this Agreement, and supersedes all prior negotiations, understandings and agreements bearing upon the subject matter covered by this Agreementhereto.

Prior Agreements. This Agreement constitutes (including its exhibits, appendices and schedules), and the other documents delivered pursuant to this Agreement (including the other Transaction Agreements) constitute a complete agreement and exclusive statement of the parties as agreement between the Parties with respect to its subject matter, and supersede all other prior agreements, arrangements or understandings by or between the Parties, written or oral, express or implied, with respect to the subject matter covered by this Agreement, and supersedes all prior negotiations, understandings and agreements bearing upon the subject matter covered by of this Agreement.

Prior Agreements. This Agreement constitutes the complete agreement sets forth all of the promises, agreements, conditions, and understandings between the parties as to respecting the subject matter covered by this Agreement, hereof and supersedes all prior and contemporaneous negotiations, understandings conversations, discussions, correspondence, memoranda, and agreements bearing upon between the parties concerning such subject matter covered by this Agreementmatter.

This Agreement constitutes is the complete entire agreement of the parties as with respect to the subject matter covered by this Agreement, hereof and supersedes all prior negotiationsagreements, understandings and agreements bearing upon verbal or written, covering such subject matter, including the subject matter covered by this AgreementFinancial Representative Agreement dated November 8, 2013, as amended.
