Prior Notice to Owner with Respect to Certain Matters. With respect to the following matters, the Owner Trustee shall not take action unless at least 30 days before the taking of such action, the Owner Trustee shall have notified the Certificateholder in writing of the proposed action and the Owner shall not have notified the Owner Trustee in writing prior to the 30th day after such notice is given that the Owner has withheld consent or provided alternative direction:
Prior Notice to Owner with Respect to Certain Matters. Subject to the provisions and limitation of Section 4.04, with respect to the following matters, the Owner Trustee shall not take action unless at least 30 days before the taking of such action, the Owner Trustee shall have notified the Certificateholder in writing of the proposed action, the Indenture Trustee shall have consented to such action in the event any Notes are outstanding and the Owner shall not have notified the Owner Trustee in writing prior to the 30th day after such notice is given that such Owner have withheld consent or provided alternative direction:

With respect to the following matters, the Issuer Trustee shall take action only in accordance with written instructions from the Owner or, if before the taking of such action, the Issuer Trustee shall have notified the Owner in writing of the proposed action (which notice shall refer to this Section of the Agreement and shall specify that failure to respond shall be deemed a withholding of consent) and the Owner shall have notified the Issuer Trustee in writing prior to the 30th day after such notice is given that the Owner has consented to:
