Procedure for Sub-lease or Assignment. Should Lessee desire to enter into a sub-lease or assign its interest in this Lease, Lessee shall, in each instance, give written notice of its intention to do so to the Executive Director at least sixty (60) days prior to the effective date of any such proposed sub-lease or assignment, specifying in such notice the nature of such proposed sub-lease or assignment and the proposed date thereof and specifically identifying the proposed Sub-lessee or Assignee. Such notice shall be accompanied by a copy of the proposed sub- lease, license, concession or permit agreement and any other documents or financial information Lessor may reasonably require in order to make a determination as to the suitability of the Sub-lessee or Assignee. Lessee shall provide to Lessor copies of relevant agreements and Lessor shall, within forty (40) days after its receipt of such notice of a proposed sub-lease or assignment from Lessee, by mailing written notice to Lessee of its intent to do so, either (i) withhold consent to the sub-lease or assignment, or (ii) consent to such sub-lease or assignment upon the terms and subject to the conditions provided for in this Article. Xxxxxx acknowledges and agrees that the Imposition of the conditions described herein as a condition of Xxxxxx’s consent is reasonable.

  • Assignment or Sub-Contracting The terms, covenants, and conditions contained herein shall apply to and bind the heirs, successors, executors, administrators and assigns of the Parties. Furthermore, neither the performance of this Contract nor any portion thereof may be assigned or sub-contracted by Contractor without the express written consent of County. Any attempt by Contractor to assign or sub-contract the performance or any portion thereof of this Contract without the express written consent of County shall be invalid and shall constitute a breach of this Contract.

  • Notification of Assignment Any assignment that is not undertaken in accordance with the provisions set forth above shall be null and void ab initio. A Party making any assignment shall promptly notify the other Party of such assignment, regardless of whether consent is required. This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and permitted assigns.

  • Notification of Assignments Assignments and schedules for the following year shall be made by the last working day of the teacher's work year.

  • Duration of Assignments Consideration must be given to the health and safety of personnel when assigned to fires of long duration. It is agreed that duration of assignments is dictated by each Party’s policy. Extension of assignments beyond the Supporting Party’s policy may be requested. It is the responsibility of the Protecting Party to request relief personnel in advance of the Supporting Party’s policy time limit. The Protecting Party is further responsible for the transportation costs of moving personnel to the fire and returning those relieved personnel back to their home stations. In all cases, the Department and Forest Service agree that their Incident Commanders will release suppression resources to their primary mission responsibilities as soon as priorities allow. The National Wildfire Coordinating Group (NWCG) has established guidelines for the length of assignments for resources and personnel who accept out of state assignments. Personnel who accept assignments out of the state are expected to adhere to the guidelines identified by NWCG. For incidents within the state, there is a required 7 day minimum commitment. Both Parties agree to honor the minimum length of assignments guidelines.
