Procedure Upon Termination. In the event of termination and abandonment of this Agreement by a party pursuant to Section 8.1, written notice thereof shall forthwith be given by the terminating party to the other parties and this Agreement shall terminate and the transactions contemplated hereby shall be abandoned, without further action. If this Agreement is terminated as provided herein, no party to this Agreement shall have any liability or further obligation to any other party to this Agreement; provided, however, that no termination of this Agreement pursuant to this Article VIII VII shall relieve any party of liability for a breach of any provision of this Agreement occurring before such termination.

Procedure Upon Termination. In the event of termination and abandonment of this Agreement by a party AEEC or USIP pursuant to Section 8.17.1, written notice thereof shall forthwith be given by the terminating party to the other parties and this Agreement shall terminate and the transactions contemplated hereby shall be abandoned, without further action. If this Agreement is terminated as provided herein, no party to this Agreement shall have any liability or further obligation to any other party to this Agreement; provided, however, that no termination of this Agreement pursuant to this Article VIII VII shall relieve any party of liability for a breach of any provision of this Agreement occurring before such termination.

Procedure Upon Termination. In the event of termination and abandonment of this Agreement by a party pursuant to Section 8.16.1, written notice thereof shall forthwith be given by the terminating party to the other parties and this Agreement shall terminate and the transactions contemplated hereby shall be abandoned, without further actionaction by the parties hereto. If this Agreement is terminated as provided herein, no party to this Agreement shall have any liability or further obligation to any other party to this AgreementAgreement except as provided in Article VII; provided, however, that no termination of this Agreement pursuant to this Article VIII VI shall relieve any party of liability for a breach of any provision of this Agreement occurring before such termination.

Procedure Upon Termination. In the event of termination and abandonment of this Agreement by a party Umatrin or UMHL pursuant to Section 8.17.1, written notice thereof shall forthwith be given by the terminating party to the other parties and this Agreement shall terminate and the transactions contemplated hereby shall be abandoned, without further action. If this Agreement is terminated as provided herein, no party to this Agreement shall have any liability or further obligation to any other party to this Agreement; provided, however, that no termination of this Agreement pursuant to this Article VIII VII shall relieve any party of liability for a breach of any provision of this Agreement occurring before such termination.

Procedure Upon Termination. In the event of termination and abandonment of this Agreement by a party pursuant to Section 8.17.01, written notice thereof shall forthwith be given by the terminating party Party to the other parties Parties, and this Agreement shall terminate immediately upon receipt of such notice and the transactions contemplated hereby shall be abandonedbecome void and have no effect, without further action. In the event of termination and abandonment of this Agreement by a party CIEC or MBYTF pursuant to Section 8.17.1, written notice thereof shall forthwith be given by the terminating party to the other parties and this Agreement shall terminate and the transactions contemplated hereby shall be abandoned, without further action. If this Agreement is terminated as provided herein, no party to this Agreement shall have any liability or further obligation to any other party to this Agreement; provided, however, that no termination of this Agreement pursuant to this Article VIII VII shall relieve any party of liability for a breach of any provision of this Agreement occurring before such termination.

If this Agreement is terminated as provided herein, no party to this Agreement shall have any liability or further obligation to any other party to this Agreement; provided, provided however, that no termination of this Agreement pursuant to this Article VIII shall relieve any party of liability for a breach of any provision of this Agreement occurring before such termination.

In the event of termination and abandonment of this Agreement by a party CIEC or XHT pursuant to Section 8.17.1, written notice thereof shall forthwith be given by the terminating party to the other parties and this Agreement shall terminate and the transactions contemplated hereby shall be abandoned, without further action. If this Agreement is terminated as provided herein, no party to this Agreement shall have any liability or further obligation to any other party to this Agreement; provided, however, that no termination of this Agreement pursuant to this Article VIII VII shall relieve any party of liability for a breach of any provision of this Agreement occurring before such termination.

If this Agreement is terminated as provided herein, no party to this Agreement shall have any liability or further obligation to any other party to this Agreement; provided, however, that no termination of this Agreement pursuant to this Article VIII VII shall relieve any party of liability for a breach of any provision of this Agreement occurring before such termination.

If this Agreement is terminated as provided herein, no party to this Agreement shall have any liability or further obligation to any other party to this Agreement; Agreement ,provided, however, that no termination of this Agreement pursuant to this Article VIII VII shall relieve any party of liability for a breach of any provision of this Agreement occurring before such termination.

In the event of termination and abandonment of this Agreement by a party Origin Orbit or AOPM pursuant to Section 8.17.1, written notice thereof shall forthwith be given by the terminating party to the other parties and this Agreement shall terminate and the transactions contemplated hereby shall be abandoned, without further action. If this Agreement is terminated as provided herein, no party to this Agreement shall have any liability or further obligation to any other party to this Agreement; provided, however, that no termination of this Agreement pursuant to this Article VIII VII shall relieve any party of liability for a breach of any provision of this Agreement occurring before such termination.
