Common use of Processing Instructions Clause in Contracts

Processing Instructions. Convercent shall Process Personal Data only to deliver services to Customer in accordance with its written instructions (unless expressly waived in a written requirement) provided during the term of the Agreement. In the event Convercent reasonably believes there is a conflict amongst Applicable Laws and Regulations or that Customer’s instructions conflict with any Applicable Laws and Regulations, Convercent will inform Customer immediately and shall cooperate in good faith to resolve the conflict and achieve the goals of such instruction.
