Processing of Customer Data. SFDC’s processing of Customer Data is limited to the extent, and in such a manner as is necessary, for the performance of SFDC’s obligations under its agreement with PROS with regard to provisioning the Platform in connection with the Subscription Service and shall not include processing the Customer Data for any other purpose without Customer’s or PROS’ written instruction as appropriate. For clarity, the following processing is deemed an instruction by PROS and/or Customer: (a) processing necessary for the performance of SFDC’s obligations under its agreement with PROS with regard to provisioning the Platform in connection with the Subscription Service; and (b) processing initiated by Customer’s Users in their use of the Subscription Service.

Processing of Customer Data. With respect to personal data within Customer Data under this DPA, the parties agree that Customer is the controller and Coupa is a processor. Customer will comply with its obligations as a controller and Coupa will comply with its obligations as a processor under the Agreement and this DPA. Coupa will only process Customer Data in fulfilling its obligations under the Agreement, such as, without limitation, providing and supporting Customer’s usage of the subscription service, detecting, and addressing security and technical issues, and responding to support requests. The processing of Customer Data only takes place within the framework of the Agreement and according to the instructions of Customer. In particular, the collected, processed or used data may only be corrected, deleted, or blocked on instructions of Customer. Backup copies are created, if they are necessary to ensure proper data processing, or reproduction processes that are necessary in order to ensure compliance with regulatory retention requirements. All instructions must be issued in writing. Coupa shall immediately inform the Customer if, in its opinion, an instruction violates the GDPR or other applicable data protection regulations.
Processing of Customer Data. The subject-matter of the Processing of Customer Data is the provision of the Services, as described in the Agreement. The nature of the Processing of Customer Data may include hosting and storage; computing; service change management; technical support/issue resolution and such other Services set forth in the relevant documentation made available by Philips or otherwise agreed between the Parties. Processing of Customer Data. Ruby shall process Customer Data only for the purposes described in the Agreement (including this DPA) or as otherwise agreed within the scope of Customer’s lawful Instructions, except where and to the extent otherwise required by Applicable Law. If Ruby is collecting Personal Data from Callers on behalf of Customer, Ruby shall follow Customer’s Instructions regarding such Personal Data collection. Ruby shall inform Customer without delay if, in Ruby’s opinion, an Instruction violates applicable Data Protection Laws and, where necessary, cease all Processing until Customer issues new Instructions with which Ruby is able to comply. If this provision is invoked, Ruby will not be liable to Customer under the Agreement for any failure to perform the Services until such time as Customer issues new lawful Instructions.
