Common use of Product Liability Clause in Contracts

Product Liability. To the Knowledge of Seller, Seller has no liability arising out of any injury to individuals or property as a result of the ownership, possession or use of any product sold or delivered by the Business prior to the Closing.

Product Liability. To the Knowledge of Seller, Seller has no liability Liability (and there is no basis for any present or future Action or Proceeding against Seller giving rise to any Liability) arising out of any injury to individuals or property as a result of the ownership, possession possession, storage, distribution, marketing or use sale of any product sold or delivered by of the Business prior to the ClosingProducts.

Product Liability. To the Knowledge of Seller’s Knowledge, Seller has no liability (and there is no basis for any present or future action, suit, proceeding, hearing, investigation, charge, complaint, claim or demand against it giving rise to any liability) arising out of any injury to individuals or property as a result of the ownership, possession or use of any product sold sold, leased or delivered or services rendered by the Business prior to the ClosingSeller.

Product Liability. To the Knowledge of Seller, The Seller has no liability (and there is no basis for any present or future action, suit, proceeding, hearing, investigation, charge, complaint, claim or demand against any of them giving rise to any liability) arising out of any injury to individuals or property as a result of the ownership, possession or use of any product sold or service sold, leased or delivered by the Business prior to the ClosingBusiness.

To the Knowledge of Seller, Seller has no does not have any liability of any kind or nature arising out of any injury to individuals or property as a result of the ownership, possession possession, or use of any product sold of the Business sold, leased, or delivered by the Business prior to the ClosingSeller.

Product Liability. To the Knowledge of Seller does not have any Liability (and, to Seller’s Knowledge, Seller has there is no liability basis for any present or future Proceeding against it giving rise to any Liability) arising out of any injury to individuals or property as a result of the ownership, possession or use of any product sold the Assets or delivered by the Business prior to the ClosingOperations.

To the Knowledge of Seller, Seller has no liability Liability (and there is no basis for any present or future Action or Proceeding against Seller giving rise to any Liability) arising out of any injury to individuals or property as a result of the ownership, possession possession, storage, distribution or use marketing of any product sold or delivered by of the Business prior to the ClosingProducts.

Product Liability. To the Knowledge of Seller's knowledge, Seller has no does not have any liability arising out of any injury to individuals or property as a result of the ownership, possession or use of any product sold products or equipment manufactured, sold, leased or delivered by Seller or with respect to any services rendered by Seller as part of the Business prior to the ClosingBusiness.

To the Knowledge of Seller, The Seller has no liability Liability arising out of any injury to individuals or property as a result of the ownership, possession or use of any product sold manufactured, displayed, transmitted, sold, leased, licensed or delivered by the Business prior Seller related to the ClosingAcquired Assets.

To Seller does not have any material Liability (and, to the Knowledge knowledge of Seller, Seller has and Shareholder there is no liability basis for any Action against Seller giving rise to any material Liability) arising out of any injury to individuals or property as a result of the ownership, possession possession, or use of any product sold designed, manufactured, sold, leased, or delivered by Seller in connection with the Business prior to the ClosingBusiness.

To the Knowledge of Seller, The Seller has no liability Liability arising out of any injury to individuals or property as a result of the ownership, possession or use of any product sold manufactured, assembled, marketed, sold, leased or delivered by the Business prior to Seller in connection with the ClosingBusiness.

To the Knowledge of Seller, Seller has no liability material Liability arising out of any injury to individuals or property as a result of the ownership, possession possession, or use of any product sold of the Business that was manufactured, sold, leased, or delivered by the Business prior to the ClosingSeller.

To the Knowledge of Seller's knowledge, Seller has no liability (and knows of no basis for any present or future charge, complaint, action, suit, proceeding, hearing, investigation, claim or demand against the Seller which could give rise to any liability) arising out of any injury to individuals persons or property as a result of the ownership, possession or use of any Padlock Product Line product sold manufactured, sold, leased, installed or delivered by the Business prior to the ClosingSeller.

To the Knowledge of Seller, The Seller has no liability Liability arising out of any injury to individuals or property as a result of the ownership, possession possession, or use of any product sold manufactured, processed, sold, or delivered by the Business prior to the ClosingSeller.

To In connection with its Business, the Knowledge of Seller, Seller has no liability Liability (and there is no Basis for any present or future Proceeding against Seller giving rise to any Liability) arising out of any injury to individuals or property as a result of the ownership, possession possession, or use of any product manufactured or sold or delivered by the Business prior to the ClosingSeller.

Product Liability. To Seller’s or Guarantor’s Knowledge, the Knowledge of Seller, Seller has no liability arising out of any injury to individuals persons or property as a result of the ownership, possession or use of any product sold produced, sold, installed or delivered by the Business prior to Seller. The Seller has the Closingproduct liability insurance policies listed in SCHEDULE 5.12.

To the Knowledge knowledge of the Seller, the Seller has no liability does not have any known Liability arising out of any injury to individuals or property as a result of the ownership, possession or use of any product of the Business manufactured, sold or delivered by the Business prior to Seller or the ClosingSeller’s third party manufacturers.
