Common use of Programmer's Indemnification Clause in Contracts

Programmer's Indemnification. Programmer shall indemnify and hold harmless Licensee, its partners and their respective directors, officers and stockholders from and against any and all claims, losses, costs, liabilities, damages, FCC forfeitures and expenses (including reasonable legal fees and other expenses incidental thereto) of every kind, nature and description, including but not limited to, those arising out of (a) Licensee's broadcast of the Programming and (b) liabilities of Programmer to its employees and other third parties.

Programmer's Indemnification. Programmer shall indemnify and hold harmless Licensee, its partners and their respective directors, officers and stockholders Licensee from and against any and all claims, losses, costs, liabilities, damages, expenses, including any FCC fines or forfeitures and expenses (including reasonable legal fees and other expenses incidental thereto) of every kind, nature and description, including but not limited to, those slander or defamation or otherwise arising out of (a) LicenseeProgrammer's broadcast broadcasts and sale of advertising time under this Agreement and the Programming actions and (b) liabilities conduct of Programmer Programmer's employees acting under this Agreement and financing agreements with Programmer's lenders to its employees and other third partiesthe extent permitted by law.

Programmer shall indemnify and hold harmless Licensee, its partners and their respective directors, officers and stockholders Licensee from and against any and all claims, losses, costs, liabilities, damages, FCC license revocation or non-renewal, forfeitures and expenses (including reasonable legal fees and other expenses incidental thereto) of every kind, nature and description, including but not limited to, those slander or defamation or otherwise arising out of (a) LicenseeProgrammer's broadcast broadcasts and sale of advertising time under this Agreement to the Programming and (b) liabilities of Programmer to its employees and other third partiesextent permitted by law.

Programmer shall indemnify and hold harmless Licensee, its partners and their respective directors, officers and stockholders Licensee from and against any and all claims, losses, costs, liabilities, damages, and expenses, including any FCC fines or forfeitures and expenses (including reasonable legal fees and other expenses incidental thereto) of every kind, nature nature, and description, including but not limited toto slander or defamation or otherwise (hereinafter "Claims"), those arising out of (a) LicenseeProgrammer's broadcast broadcasts on the Station and/or sale of advertising time under this agreement during the Programming and (b) liabilities Term, or the actions or conduct of Programmer to its employees and other third partiesProgrammer's employees.
