Prohibition Against Performance Outside the United States. All work performed under this Agreement must be performed exclusively within the United States. All information obtained by Contractor or a subcontractor under this Agreement must be maintained within the United States. The foregoing requirements will not preclude Contractor from performing work outside the United States that HHSC has approved in writing and that HHSC has confirmed will not involve the sharing of Confidential Information outside the United States. Contractor’s violation of this Section 18.01 will constitute a material breach in accordance with Section 11.02 of version 1.4.1 of the UCTC. Contractor will be liable to HHSC for all actual and consequential damages in accordance with the UTC. For breach of the requirements under this Section 18.01, HHSC may terminate this Agreement with notice to Contractor at least 1 calendar day before the effective date of such termination.
