Promise to Refrain from Suit or Administrative Action. Xxxxx represents that, as of the Effective Date of this Agreement, he has not filed any lawsuits, complaints, petitions, claims or other accusatory pleadings against the Company or any Company Releasees in any court of law or before any government agency. Xxxxx further agrees that, to the fullest extent permitted by law, he will not prosecute in any court, whether state or federal, any claim or demand of any type related to the matters released above, it being the intention of the parties that with the execution of this Agreement, the Company and all Company Releasees will be absolutely, unconditionally and forever discharged of and from all obligations to or on behalf of Xxxxx related in any way to the matters discharged herein. Xxxxx waives his right to recover any type of personal relief from the Company or any Company Releasees, including monetary damages or reinstatement, in any administrative action or proceeding brought by or before any government agency or body, whether state or federal, and whether brought by Xxxxx or on Xxxxx’x behalf, related in any way to the matters released herein.

Xxxxxxxx promises and agrees that he will never sxx the Company or any of the other Company Releasees, or otherwise participate in any legal or administrative proceedings against the Company or any of the other Company Releasees or in any way facilitate or encourage any third party, employee or stockholder to sxx the Company or any of the other Company Releases, with respect to any claim covered by the release provisions of this Agreement.

Each of the XXXX Parties promises and agrees that it/he will never (a) xxx any of the Xxxx Parties or any of the other Xxxx Releasees, or otherwise institute or (unless it/he is compelled by legal process to do so) participate in any legal or administrative proceedings against any of the Xxxx Parties or any of the other Xxxx Releasees, with respect to any claim covered by the release provisions of this Agreement, including but not limited to claims arising out of Xxxxx’x employment with TMD or the termination of that employment, (b) bring a derivative action (on behalf of XXXX or TMD) against any of the Xxxx Parties or any of the other Xxxx Releasees, or otherwise cause any action against any of the Xxxx Parties or any of the other Xxxx Releasees to be brought by XXXX or TMD or by any person asserting rights through, under or in connection with XXXX or TMD or with ownership of XXXX or TMD securities, or (unless the XXXX Party is compelled by legal process to do so) participate in any such proceedings against any of the Xxxx Parties or any of the other Xxxx Releasees, or (c) encourage or cause any other person to do anything which the XXXX Party promised and agreed in this Section 30 not to do.

Schaffer promises anx xxxxxs that he will never sue EMPLOYER or any xx the other Releasees, or otherwise institute or participate in any legal proceedings against EMPLOYER or any of the other Releasees, with respect to any claim covered by the release provisions of this AGREEMENT, including but not limited to claims arising out of Schaffer's employment xxxx XXXXOYER or the termination of that employment, unless he is compelled by legal process to do so. Schaffer also represxxxx xxx warrants that he does not believe he has the basis to file, nor does he intend to file, any charge or claim with any administrative agency, including the United States Equal Employment Opportunity Commission and the California Department of Fair Employment and Housing.

XXXXXXX promises and agrees that he will never xxx EMPLOYER or any of the other Employer Releasees, or otherwise institute or participate in any legal or administrative proceedings against EMPLOYER or any of the other Employer Releasees, with respect to any claim covered by the release provisions of this RELEASE, including but not limited to claims arising out of XXXXXXX’x employment with EMPLOYER or the termination of that employment, unless he is compelled by legal process to do so. XXXXXXX represents that he has not assigned to anyone any claims or causes of action again EMPLOYER or any Employer Releasee.

The Shareholder Agent, acting as the agent for and with binding effect upon all of the Shareholders, promises and agrees that he and they will never xxx SpaceDev or any of the other SpaceDev Releasees, or otherwise institute or participate in any legal or administrative proceedings against SpaceDev or any of the other SpaceDev Releasees, with respect to any claim covered by (and not excluded by express proviso from) the release provisions of this Release. SpaceDev promises and agrees that it will never xxx the Shareholders or any of the other Shareholders Releasees, or otherwise institute or participate in any legal or administrative proceedings against the Shareholders or any of the other Shareholders Releasees, with respect to any claim covered by (and not excluded by express proviso from) the release provisions of this Release.

XXXXXX promises and agrees that he will never xxx EMPLOYER or any of the other Releasees, or otherwise institute or participate in any legal or administrative proceedings against EMPLOYER or any of the other Releasees, with respect to any claim covered by the release provisions of this AGREEMENT, including but not limited to claims arising out of XXXXXX’x employment with EMPLOYER or the termination of that employment, unless he is compelled by legal process to do so. XXXXXX promises and agrees that he shall not advocate or incite the institution of, or assist or participate in, any suit, complaint, charge or administrative proceeding by any other person against EMPLOYER or any of the other Releasees, unless compelled by legal process to do so.
