PROMOTIONAL ACTIVITY. Cheyenne Stampede agrees not to conduct any promotional activity or advertising regarding the Season to be conducted at the Events Center without the prior consent of the City. If promotion or advertising of the Season is permitted by the City, all advertising and promotion of the Event shall be the responsibility of Cheyenne Stampede, at its sole cost.

All such activities shall be at Distributor’s cost and expense, and Distributor shall not be entitled to request any reimbursement thereof from B. Furthermore, Distributor shall follow B’s direction on marketing activities, including without limitation, sending those Distributor sales and marketing personnel that B designates to certain Spring and Fall medical meetings. Distributor shall provide for B’s review and approval annual marketing plans for each upcoming sales year by no later than November 30 of each immediately preceding year. Distributor shall provide B at monthly meetings to be held between Distributor and B monthly status updates on product listings, account plans, marketing activities (including without limitation local congresses, advertisements, presentations, etc.) and market / competitor information, all based on pre-determined formats. 9.2 B shall have the right to pre-approve any promotional materials for the Products created by Distributor. B shall not be under any obligation to provide promotional materials or marketing samples of the Products to Distributor. 9.3 In the event of any malfunction of the Products, Distributor shall immediately arrange for a temporary replacement of the Products before the restoration of the normal function of the Products or before a permanent replacement is available.
PROMOTIONAL ACTIVITY. The co-sponsors will not use the workshop involving EPA, nor its affiliation with EPA, primarily as a vehicle to sell or promote products or services. The co-sponsors will take reasonable steps to ensure that any incidental promotional activity does not imply that EPA endorses any products or services. Such promotional activity will be subject to the written approval of at least one (1) member of the senior management of each of Heartport and Vista prior to its distribution. Heartport will provide Vista with lists of the names and hospital affiliations of the HRTC trainee surgeons on at least a quarterly basis. Heartport also agrees to endorse such Vista Systems as a preferred three-dimensional video visualization and information solution for minimally invasive cardiac surgery after the Services Term for so long as Vista is obligated to sell Vista Systems to Port-Access Hospitals pursuant to Article 6 hereof.
PROMOTIONAL ACTIVITY. 9.1 Unless otherwise expressed by Client, ClarkeModet is hereby authorized to disclose its participation in the services and the name of Client for commercial, reputational, academic, or legal doctrine purposes. 9.2 ClarkeModet may include in its communications any information that is not confidential and deems appropriate regarding the services provided.
