Common use of Prompt Notices Clause in Contracts

Prompt Notices. Seller shall give prompt notice to Buyer, and Buyer shall give prompt notice to Seller, of (i) the occurrence, or failure to occur, of any event which occurrence or failure would be likely to cause (A) any representation or warranty of such party contained in this Agreement to be untrue or inaccurate in any material respect or (B) any covenant, condition or agreement of such party contained in this Agreement to be complied with or satisfied in all material respects and (ii) any failure of Seller or Buyer, as the case may be, to comply with or satisfy any covenant, condition or agreement to be complied with or satisfied under this Agreement.

Prompt Notices. Seller Sellers shall give prompt notice to Buyer, and Buyer shall give prompt notice to SellerSellers, of (i) the occurrence, or failure to occur, of any event which occurrence or failure would be likely to cause (A) any representation or warranty of such party contained in this Agreement or the Addendum hereto to be untrue or inaccurate in any material respect or (B) any covenant, condition or agreement of such party contained in this Agreement or the Addendum hereto not to be complied with or satisfied in all material respects and (ii) any failure of Seller Sellers, or any of them, or Buyer, as the case may be, to comply with or satisfy any covenant, condition or agreement to be complied with or satisfied under this Agreement.
