Common use of Proof of Authority Clause in Contracts

Proof of Authority. Such proof of each party that constitutes Seller’s authority and authorization to enter into this Agreement and the transactions contemplated hereby, and such proof of the power and authority of the individual(s) executing and/or delivering any instruments, documents or certificates on behalf of Seller to act for and bind Seller, as may be reasonably required by Title Company;

Proof of Authority. Such proof of each party that constitutes Seller’s 's authority and authorization to enter into this Agreement and the transactions transaction contemplated hereby, and such proof of the power and authority of the individual(s) executing and/or or delivering any instruments, documents or certificates on behalf of Seller to act for and bind Seller, Seller as may be reasonably required by the Title Company;; and

Proof of Authority. Such Buyer and Seller each shall deliver such proof of each party that constitutes Seller’s authority and authorization to enter into this Agreement and consummate the transactions transaction contemplated herebyby this Agreement, and such proof of the power and authority of the individual(s) executing and/or and delivering any instruments, documents or certificates on behalf of Seller to act for and bind Sellersuch party, as reasonably may be reasonably required by the Title Company;.

Proof of Authority. Such proof of each party that constitutes Seller’s authority and authorization to enter into this Agreement Agreement, the Bank Leases and the transactions contemplated hereby, and such proof of the power and authority of the individual(s) executing and/or or delivering any instruments, documents or certificates on behalf of Seller to act for and bind Seller, Seller as may be reasonably required by Title Company;; and

Proof of Authority. Such proof of each party that constitutes Seller’s 's authority and authorization to enter into this Agreement and consummate the transactions transaction contemplated hereby, and such proof of the power and authority of the individual(s) executing and/or delivering any instruments, documents or certificates on behalf of Seller to act for and bind Seller, Seller as may be reasonably required by Purchaser and/or the Title Company;Company (collectively, the "Seller Authorization Documents").
