Common use of Proof of Authority Clause in Contracts

Proof of Authority. Seller shall deliver to Escrow Holder such proof of Seller’s authority and authorization to enter into this Agreement and consummate the transaction contemplated hereby, and such proof of the power and authority of the individual(s) executing and/or delivering any instruments, documents or certificates on behalf of Seller to act for and bind Seller as may be reasonably required by Title Company and/or Buyer.

Proof of Authority. Seller shall deliver to Escrow Holder such proof of Seller’s has authority and authorization to enter into this Agreement and consummate the transaction contemplated herebyby it, and shall deliver such proof of the power and authority of the individual(s) persons executing and/or delivering any instruments, documents documents, or certificates on behalf of the Seller to act for and or bind Seller the Seller, as may be reasonably required by Title Company the Escrow Holder and/or Buyerthe Purchaser.
