Common use of Proof of Authority Clause in Contracts

Proof of Authority. Such proof of Transferee’s authority and authorization to enter into this Agreement and the transactions contemplated hereby, and such proof of the power and authority of the individual(s) executing or delivering any instruments, documents or certificates on behalf of Transferee to act for and bind Transferee as may be reasonably required by Title Company, Transferor or both; and

Proof of Authority. Such Transferor shall provide such customary proof of Transferee’s authority and authorization to enter into this Agreement and the transactions contemplated hereby, and such customary proof of the power and authority of the individual(s) executing or delivering any instruments, documents or certificates on behalf of Transferee to act for and bind Transferee Transferor as may be reasonably required by the Title Company, Transferor Transferee or both; and.
